Section 7.1 Limitation of Liability. The Corporation, the Board of Directors, the Officers, the Subcommittee members or any other party acting within the scope of his duties described in these By-Laws shall not be liable to any Person for any action or failure to act if the action or failure to act was in good faith and without malice.

Section 7.2 Power to Amend, Alter or Repeal By-Laws. The shareholders or the Board of Directors shall have the power and the right to amend, alter, expand or repeal these By-Laws, including the fixing and altering of the Board of Directors, except that the Board of Directors shall not make or alter any By-Laws fixing their term of office or compensation.
